In this article we are going to explain how to register your business easily and what documents you will need.

If you want to register your company in Bulgaria, firstly you need to choose a name for it and once you have selected the name, you should check whether it is unique.

The documents for registration of a sole limited liability company (EOOD) are, as follows:

–        By-Laws of a single owner of Sole Limited Liability Company

In the process of formation of a sole limited liability company (EOOD) you have to draw a By-laws of a single owner of Sole Limited Liability Company, which must be consisted of – the company’s address and headquarters; the amount of the capital; the scope of activity; the management and methods of representation; general provisions, and everything about the newly established company. It must be established a Protocol form the Constitutional meeting, certifying the desire to create a company.

If the registration is carried out by a person other than the owner/ manager of the company, he must be authorized by a power of attorney.

There is another power of attorney which you have to prepare to serve in front of the bank, where the escrow account will be opened.

After the registration of the company this escrow account can be transformed into a current account and can be used for the commercial operations of the company.

In the process of formation of the limited liability company (OOD) the relationships between the partners are governed by the Articles of Limited Liability Company.

It has to be concluded in writing form, as well as the By-laws of a single owner, and have to be signed by each of the partners.

The Articles of Limited Liability Company must include – the company’s address and headquarters; the scope of activity and duration of the contract; the amount of the capital; the amount of the shares that each shareholder participates with in the capital; the management and the manner of representation; the advantages of the partners; other rights and obligations.

If the registration is done by a person other than the manager/ co-owner of the company, he must be authorized by a notarized power of attorney.

There is another power of attorney you have to prepare to serve in front of the bank, where the escrow account will be opened. After the registration of the company this escrow account can be transformed into a current account and can be used for the commercial operations of the company.

After submitting all the documents in the Commercial register of the Republic of Bulgaria the registration of the company is carried out within one working day, and after this day you have a brand new company.
